AGREEMENT TO OUR LEGAL TERMS

We are Beal Software LLC ("Company," "we," "us," or "our"). We operate the website https://www.getnexusdesk.com (the "Site"), as well as NexusDesk and any other related products and services that refer or link to these legal terms (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity, and Beal Software LLC concerning your access to and use of the Services. 5. PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate purchase and account information for purchases made via the Services and to promptly update account and payment information. We may change prices at any time, add sales tax where required, refuse orders, limit or cancel quantities, and correct pricing errors.

6. SUBSCRIPTIONS

Billing and renewal

Your subscription will continue and automatically renew unless canceled. You consent to recurring charges until cancellation. The billing cycle depends on the subscription plan selected.

Free trial

We may offer a 30-day free trial to new users who register with the Services. The instance may change to read-only until upgraded to a paid version.

Cancellation

All purchases are non-refundable. You may manage billing at https://app.getnexusdesk.com/settings/billing. Cancellation takes effect at the end of the current paid term.

7. PROHIBITED ACTIVITIES

You may not use the Services for any purpose other than that for which we make them available. Prohibited activities include systematically retrieving data, misleading us or other users, interfering with security features, using information to harass or harm others, submitting false abuse reports, violating laws, uploading malicious code, using bots or scraping tools, deleting proprietary notices, impersonating others, disrupting the Services, reverse engineering, creating unauthorized accounts, competing with us, sending spam or deceptive communications, attempting unauthorized access, violating privacy or intellectual property rights, misrepresenting identity or affiliation, or using AI features to generate unlawful, deceptive, harmful, or abusive content.

8. USER GENERATED CONTRIBUTIONS

The Services may provide opportunities to create, submit, post, display, transmit, publish, distribute, or broadcast content and materials. Contributions may be viewable by other users and through third-party websites. You represent that your Contributions do not infringe third-party rights, are not false or misleading, and do not violate these Legal Terms or applicable law.

9. CONTRIBUTION LICENSE

By posting Contributions, you grant us a worldwide, royalty-free, transferable license to host, use, copy, reproduce, disclose, publish, display, transmit, excerpt, distribute, and otherwise use such Contributions in connection with the Services. You retain ownership of your Contributions, and you remain solely responsible for them.

The Services may contain links to third-party websites or content. We are not responsible for third-party websites, third-party content, purchases, privacy practices, or policies. Accessing third-party websites or content is at your own risk.

11. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor the Services for violations, take appropriate legal action, restrict access, remove or disable files or content, and otherwise manage the Services to protect our rights and facilitate proper operation.

17. DISPUTE RESOLUTION

Informal negotiations

To expedite resolution and control costs, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration.

Binding arbitration

If informal negotiation does not resolve a dispute, the dispute will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, except for excluded disputes. Arbitration will take place in Pierce County, Washington unless applicable rules or law require otherwise.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We may correct errors and update information at any time without prior notice.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

20. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY WILL BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CLAIM OR $1,000.00 USD, TO THE EXTENT PERMITTED BY LAW.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against claims, damages, liabilities, losses, and expenses arising out of your Contributions, use of the Services, breach of these Legal Terms, violation of third-party rights, or harmful acts toward another user.

22. USER DATA

We will maintain certain data transmitted to the Services for managing performance and data relating to your use of the Services. You are responsible for data you transmit or activity undertaken using the Services.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that electronic notices, agreements, disclosures, signatures, and records satisfy legal requirements that communications be in writing.

24. CALIFORNIA USERS AND RESIDENTS

If a complaint with us is not satisfactorily resolved, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

25. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement between you and us. Failure to enforce any provision is not a waiver. If any provision is unlawful or unenforceable, the remaining provisions remain in effect.
